Closing of Non-Brokered Private Placement
The Company is further pleased to announce that it has closed the non-brokered portion of its previously announced private placement of units of the Company (the “Units”) at a price of $0.20 per unit (the “Non-Brokered Offering“). Each Unit is comprised of one common share in the capital of the Company (each a”).Common Share“) and one-half of one Common Share purchase warrant (each whole warrant, a”WarrantEach Warrant is exercisable to acquire one Common Share at an exercise price of $0.30 per Common Share, subject to adjustments in certain events, until May 11, 2024. Pursuant to the Non-Brokered Offering, 550,000 Units were sold to two directors of the Company for aggregate gross proceeds of $110,000. The Non-Brokered Offering was completed on the same terms as its $3,390,000 brokered private placement offering (the “Brokered Offering“) announced on April 29, 2022. No fees or commissions are payable to the Agent in connection with the Non-Brokered Offering.
All securities issued in connection with the Non-Brokered Offering are subject to a hold period which will expire on September 12, 2022the date that is four months and one day from the closing of the Non-Brokered Offering.
